Board of Directors Structure Survey

Author: Communications Committee/Friday, September 14, 2012/Categories: General

At the June 2012 conference we discussed additional strategic planning issues, e.g., make-up of the regions, possible governance changes in the number of Board of Directors members, representation for segments of the membership, e.g., Member-at-Large, e-chapter members, etc. As you know, we recommended eight (8) regions which have been approved and configured by the Board of Directors and a map is now annexed to the State Bylaws. (See NYS Women, Inc. By-laws, revised June 3, 2012 at www.nyswomeninc.org.)

At the upcoming Board of Directors’ meeting October 12-14, 2012 in Niagara Falls, NY, there will be a “Special Members’ Meeting” to act on several provisions of the bylaws with respect to moving portions of the current by-laws to the Manual of Instructions (MOI). Additionally, we will discuss our Board of Directors’ structure to determine if there are any changes warranted. Currently we have a Board of Directors consisting of the Officers (6), the Immediate Past State President (IPSP) (1), the Region Directors (8), and the Chairs of the Standing Committees (By-laws, Finance, Membership, Personal & Professional Development, Public Policy and Communications) (6), for a total of 21 Board members.
